Governing law, disputes and general terms In short These terms cover the website; a signed order form or MSA governs product access and prevails where they differ. Everything is provided "as is" and used entirely at your own risk — Arivyam gives no warranties and accepts no liability. AI outputs are decision support and can be wrong — keep a human in the loop for any decision that affects a person. You own your data; you are responsible for the lawfulness of what you upload and of the campaigns you run. No scraping, no reverse engineering, and no using our content to train models without written consent. Governed by the laws of India, with courts at Delhi having exclusive jurisdiction. ## 1. Agreement to these terms These Terms of Use are a binding agreement between you and Arivyam Technologies ("Arivyam", "we", "us"). By accessing arivyam.com or using any Arivyam platform, including Tugume and Wobix, you accept these terms on your own behalf and, where you act for an organisation, on that organisation’s behalf and with authority to bind it. If you access a product under a signed order form, master services agreement or data processing agreement, that agreement governs the product and prevails over these terms where they conflict. These terms continue to apply to your use of the website. You must be at least 18 years old and legally able to enter a contract. Our website, products and services are for business use, not for consumers. ## 2. Use of the website We grant you a limited, revocable, non-exclusive licence to view and use arivyam.com for legitimate business evaluation and communication with us. You may not: - Copy, reproduce, republish or redistribute site content beyond ordinary personal or internal business reference. - Scrape, crawl, harvest or bulk-extract content, or use automated means to access the site beyond standard search-engine indexing. - Use site content to train, fine-tune, evaluate or benchmark any machine-learning model without our prior written consent. - Probe, scan or test the security of the site, or bypass any access control or rate limit. - Introduce malware, or interfere with the availability or integrity of the site. - Misrepresent your identity or your affiliation with any person or organisation. ## 3. Platform access and accounts Access to Tugume, Wobix or any other Arivyam platform is granted only under a written subscription or pilot agreement. Where accounts are issued: - You are responsible for the accuracy of account information and for keeping credentials confidential. - Credentials are personal to the named user and must not be shared. Notify us immediately at support@arivyam.com if you suspect unauthorised access. - You are responsible for everything done under your account, and for the acts and omissions of your authorised users. - We may suspend access where there is a security risk, a material breach of these terms, non-payment, or a legal requirement — with notice where practicable. - Access is granted for your internal business purposes only. You may not resell, sublicense, white-label or provide the platform as a service to third parties without our written consent. ## 4. Acceptable use of the platform You agree not to use any Arivyam platform, and not to permit anyone to use it, to: - Break the law, infringe rights, or breach a duty you owe to a third party. - Place unsolicited marketing, spam or automated calls where consent, registration or do-not-call rules require otherwise — you are responsible for the lawfulness of every outbound campaign you configure. - Record or transcribe conversations without giving the notice or obtaining the consent that the relevant jurisdiction requires. - Impersonate a real named individual, conceal that a caller is speaking with an AI agent where disclosure is required, or use synthetic voice deceptively. - Make employment, credit, insurance, housing, medical or other significant decisions about a person on the basis of an AI output alone, without meaningful human review. - Upload content that is unlawful, defamatory, obscene, discriminatory or harmful, or malware of any kind. - Attempt to reverse engineer, decompile, extract model weights from, or derive the underlying architecture of the platform. - Circumvent guardrails, rate limits, safety filters or usage entitlements, or use the platform to develop a competing product. - Submit special-category or highly sensitive personal data outside the scope agreed in writing. We may investigate suspected misuse and cooperate with authorities. Serious or repeated breach may lead to suspension or termination without refund. ## 5. Your data and your responsibilities as a controller You retain ownership of the content and data you or your users submit to a platform ("Customer Data"). You grant Arivyam a limited licence to host, process, transmit and display Customer Data solely to provide, secure and support the service, and to comply with law. Where Customer Data contains personal information, you act as the controller and Arivyam as your processor. You are responsible for: - Having a lawful basis for the processing you instruct, and for giving the notices and obtaining the consents your own privacy law requires. - The accuracy and legality of the data you upload, and of the data sources you connect. - Configuring retention, access and disclosure settings appropriately for your organisation. - Responding to requests from the individuals concerned; we will assist as set out in the data processing agreement. Arivyam does not use Customer Data for its own marketing, and does not use it to train shared or general-purpose models. Our handling of personal information is described in the Privacy Policy. ## 6. AI outputs — what they are and are not Our platforms use artificial intelligence, including large language models, speech recognition and speech synthesis. You should understand and accept the following before relying on them: - AI outputs are probabilistic. They may be incomplete, out of date or wrong, and they may be phrased confidently while being incorrect. - Outputs are decision support, not professional advice. They are not legal, financial, medical, tax or HR advice and must not be used as a substitute for a qualified human judgement. - The same input may produce different outputs at different times. Outputs are not guaranteed to be unique to you. - You are responsible for reviewing outputs before acting on them, and for keeping a human decision-maker in the loop for any decision that materially affects a person. - Where an agent is permitted to take actions in your systems, you are responsible for the guardrails, permissions and approval thresholds you configure. - You must not present AI-generated output as human-authored where disclosure is legally or professionally required. You acknowledge that these are inherent characteristics of AI systems rather than defects, that you use AI outputs entirely at your own risk, and that Arivyam accepts no liability for any output, for any decision or action taken on the basis of an output, or for any consequence of an agent action you authorised. See sections 11 and 12. You retain rights in your inputs and, as between you and Arivyam, in the outputs generated for you from your data, subject to our rights in the platform itself. Third-party model providers may impose additional use restrictions, which we pass through in the applicable order form. ## 7. Intellectual property The website, the platforms, their software, models, model configurations, prompts, workflows, designs, documentation and all related intellectual property remain the exclusive property of Arivyam and its licensors. Nothing in these terms transfers ownership to you. "Arivyam", "Tugume", "Wobix", the Arivyam mark and logo, and our taglines are our trademarks. You may not use them without prior written permission, except to refer factually to our products. Third-party names on the site belong to their owners. If you send us ideas, suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free licence to use them to improve our products, without obligation or compensation. Do not send us confidential information you do not want used this way. ## 8. Third-party services and links Our platforms integrate with third-party services — telephony carriers, cloud infrastructure, CRM and helpdesk systems, model providers, identity providers. Your use of those services is governed by their own terms, and their availability and performance are outside our control. Links from our website to third-party sites are provided for convenience and are not an endorsement. We are not responsible for their content, security or practices. ## 9. Availability, changes and beta features We may change, suspend or withdraw any part of the website at any time. Platform availability and support commitments are set out in the applicable order form or service level agreement; the website itself is provided without any uptime commitment. Features marked beta, pilot, preview or early access are provided for evaluation, may change or be withdrawn, and carry no service level, indemnity or support commitment. ## 10. Fees and payment Fees, usage rates, minimum commitments and billing cycles are those set out in your order form. Any pricing shown on the website is indicative, may exclude taxes, telephony and third-party pass-through charges, and is subject to change until confirmed in writing. Invoices are payable within the agreed terms. Late amounts may attract interest at the rate permitted by law, and we may suspend access for material non-payment after notice. Fees are exclusive of applicable taxes, which you are responsible for. ## 11. No warranties You use the website, the platforms and every AI output entirely at your own risk. To the maximum extent permitted by applicable law, everything Arivyam makes available — the website, any platform access, all content, all features, all integrations and all AI outputs — is provided "as is", "with all faults" and "as available", without warranty, condition, representation or undertaking of any kind, whether express, implied, statutory or arising from course of dealing or usage of trade. Arivyam expressly disclaims all implied warranties, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, completeness, title, quiet enjoyment, system integration, security and non-infringement. Without limiting the foregoing, Arivyam does not warrant and makes no representation that: the website or any platform will be available, uninterrupted, timely, secure or error-free; defects will be corrected; the website or any platform is free of viruses or harmful components; any AI output, transcript, score, summary, recommendation or agent action will be accurate, complete, current, lawful, unbiased or suitable for any purpose or decision; or that results described anywhere on the website will be achieved by you. Nothing on the website constitutes an offer, a commitment, a guarantee of outcome, or professional, legal, financial, medical, tax or HR advice. You assume full and sole responsibility for your use of, and reliance on, the website, the platforms and any AI output, including for every decision you take and every action you permit an agent to take, and for all resulting loss or damage. No advice or information, whether oral or written, obtained from Arivyam creates any warranty not expressly stated here. ## 12. No liability To the maximum extent permitted by applicable law, Arivyam Technologies, together with its group companies, directors, officers, employees, contractors, agents, licensors and suppliers (the "Arivyam Parties"), shall have no liability whatsoever to you or to any third party arising out of or in connection with the website, the platforms, any AI output, any interruption or unavailability, any loss or corruption of data, any unauthorised access, or your use of or inability to use any of them — whether the claim arises in contract, tort (including negligence), strict liability, statute, indemnity, restitution or on any other basis, and whether or not the Arivyam Parties were advised of the possibility of such loss. This exclusion applies to every category of loss, including direct, indirect, incidental, special, consequential, exemplary and punitive damages, and including loss of profit, revenue, business, contracts, opportunity, goodwill, reputation, anticipated savings, data or content, cost of substitute services, regulatory fine or penalty, and any claim brought against you by a third party. You agree that your sole and exclusive remedy for any dissatisfaction with the website or any platform is to stop using it. Where any liability cannot lawfully be excluded in your jurisdiction, the aggregate liability of the Arivyam Parties for all claims combined is limited to the lesser of the amount you paid Arivyam for the specific service giving rise to the claim in the three months before the claim arose, or INR 1,000 — and this cap applies in aggregate and not per claim. Any claim must be brought within three months of the event giving rise to it, after which it is permanently barred. These exclusions and limitations are a fundamental basis of the bargain between us and apply even if a limited remedy is found to have failed of its essential purpose. They survive termination. Nothing in these terms excludes liability that applicable law does not permit to be excluded; in that event the exclusion is applied to the fullest extent the law allows and the remainder of this section stays in force. Where you access a platform under a signed agreement, the liability provisions of that agreement govern that access. ## 13. Indemnity You agree to defend, indemnify and hold harmless the Arivyam Parties from and against all claims, demands, proceedings, damages, losses, liabilities, fines, penalties and costs (including reasonable legal fees) arising out of or relating to: your breach of these terms or of any applicable law; your unlawful or unauthorised use of the website or any platform; the content, data or instructions you submit; the outbound campaigns, integrations, permissions or agent actions you configure; your reliance on any AI output, with or without the human review these terms require; and any claim by a third party — including a candidate, customer, caller or regulator — relating to your use of the website or any platform. Arivyam may, at its option and your cost, assume the exclusive defence and control of any matter subject to this indemnity, and you agree to cooperate. You may not settle any such matter in a way that imposes an obligation or admission on Arivyam without our prior written consent. ## 14. Suspension, termination and survival You may stop using the website at any time. We may suspend or terminate your access to the website, and to any platform access not governed by a signed agreement, immediately and without notice, where we reasonably believe these terms have been breached or where continued access poses a legal or security risk. On termination, the licences granted to you end. Sections on intellectual property, disclaimers, limitation of liability, indemnity, governing law and any provision intended to survive will continue in force. ## 15. Governing law, disputes and general terms These terms are governed by the laws of India. The courts at Delhi, India have exclusive jurisdiction, and you consent to that venue. Before commencing proceedings, each party will attempt in good faith to resolve the dispute through discussion between senior representatives for 30 days. If any provision is held unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver. You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition or reorganisation. These terms, together with any applicable signed agreement and the Privacy Policy, are the entire agreement between us on this subject. We may update these terms from time to time. The effective date at the top reflects the current version; material changes will be notified on the website or by email where we hold your address.
